If Palmer wasn't part of the post-merger company, what you say would make total sense. He was a senior employee and, for some time, a useful (to FB) spokesperson. So if he spoke publicly and they didn't agree, they'd have a legal responsibility to correct the record and to prevent him from speaking for them.

I think they eventually did just that, relating to other controversies.
